Please read these Terms of Service ("Agreement", "Terms of Service") carefully before using Roadly ("Roadly", "the Site", "us", "we", "our", "provider"). This Agreement sets forth the legally binding terms and conditions for your use of the Site at Roadly.
By accessing or using the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms of Service. Capitalized terms are defined in this Agreement.
Acceptance of the Terms
You must be of legal age to enter into a binding agreement in order to accept the Terms. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Terms by checking a corresponding checkbox indicating your acceptance of the terms or by actually using the Services.
Description of Service
We provide a service for roadmap data management, collaboration and reporting ("Service" or "Services"). You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You can create and edit content with your user account and if you choose to do so, you can share such content. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipments necessary to use the Services.
Subscriber conduct
You agree that you are solely responsible for the content of your account, and you further acknowledge that the Provider acts as a passive conduit for the storage of data.
Data Ownership
We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant us the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account, but you grant us permission to access, copy, distribute, store, transmit, reformat the content of your user account solely as required for the purpose of providing the Services to you (exp. backups, support, maintenance, releases).
Free of Charge / Costs
The service is free of charge. There is no contract, no sign-up fee and no cancellation fee. Should the service become chargeable, a message will be sent at least 6 months in advance.
Liability
The usage of this service is effected "with all faults". This means that the potential customer is not entitled to make a claim in respect of a defect or fault that may exist in the application. The development and release strategy of Roadly is characterised by extensive care and accuracy, however, it cannot excluded that any software or service contains some defects or errors. The customer acknowledges that any software or service may contain faults. Any reported faults are remedied as soon as possible. The Provider is not liable for any consequential, incidental, direct, indirect, special, punitive or other damages whatsoever (including but not limited to damages for loss of profits, business interruption, loss of information, loss of privacy, negligence, and for any pecuniary or other loss) arising out of or in any way related to the use of, inability to use the service or using the service results.
Indemnification
In no event shall us, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for damages, direct or consequential, resulting from your use of the Site, and you agree to defend, indemnify and hold harmless the Provider and assigns from and against any and all liabilities.
Use Purpose
You agree not to resell or make any commercial use of the Service without the express written consent of the Provider and you agree to be fully liable for the use of your account, including any unauthorized use of your account by a third party.
Use Rules
The Service is offered to you to help you with the operation of your business. You agree not to use the products or services provided through or in connection with the Service to:
(i) conduct any business that is unlawful,
(ii) infringe or otherwise violate a third party's rights,
(iii) collect information about third parties, without their express consent; or
(iv) interfere with or disrupt the Service or Servers.
The Provider reserves the right to disclose any information or materials as necessary to satisfy any applicable law, regulation, legal process or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, from the Servers, at the provider's sole and absolute discretion, without notice.
Termination
This Agreement shall continue in full force and effect for so long as you are using the Service. We may terminate your access to the Site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Site and Service Updates
We send site and service updates announcements to our customers. We communicate with our customers to provide requested services and in regards to issues relating to their account via email. As a customer, you automatically benefit from new releases that provide functional extensions, you will always have the 'latest version' available.
Links to other Sites
Our Site may contain links to third-party sites that are not owned or controlled by us. We have no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party site that you visit.
Warranty Disclaimer
Your use of the Site is at your sole risk. The Site is provided on an "as is" and "as available" basis. The Site is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. The Provider, its subsidiaries, affiliates, and its licensors do not warrant that
a) the Site will function uninterrupted, secure or available at any particular time or location;
b) any errors or defects will be corrected;
c) the Site is free of viruses or other harmful components; or
d) the results of using the Site will meet your requirements.
Governing Law
This Agreement (and any further rules, polices, or guidelines incorporated by reference) shall be governed and construed in accordance with the laws of Germany, without giving effect to any principles of conflicts of law.
Privacy
By registering for the Service, you authorize us to collect, store and process Customer Data subject to the terms of this Agreement and the providers Privacy Policy (the "Privacy Policy"), the current version of which is posted at Privacy, and you represent and warrant that the collection, storage and processing of such customer data, as provided in this agreement and consistent with the privacy policy, does not breach or violate any contractual or legal obligations that you may have to any party. You further understand and agree that the privacy policy may change from time to time without notice in the providers sole and absolute discretion.
Changes to this Agreement
We reserve the right, at our sole discretion, to modify or replace these Terms of Service by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Service. Please review this Agreement periodically for changes. If you do not agree to any of this Agreement or any changes to this Agreement, do not use, access or continue to access the Site or discontinue any use of the Site immediately.
